1. Scope and Operator

These Terms of Service ("Terms") govern the use of the online marketplace accessible at llmdhub.com ("Platform"), operated by:

The Platform is a marketplace that connects sellers (developers who upload and sell prompt templates for large language models) with buyers (developers who purchase those prompt templates). The operator ("we," "us," "llmdhub") acts as an intermediary — we are not the seller or author of the prompt content listed on the Platform.

By creating an account and using the Platform, you ("User," "you") agree to these Terms. These Terms apply to all transactions conducted through the Platform, whether as a buyer or seller.

Users must be natural persons of at least 18 years of age or legal entities with full legal capacity.

2. Platform Role and Intermediary Status

llmdhub operates as an intermediary platform within the meaning of the EU Digital Services Act (Regulation (EU) 2022/2065). We provide the technical infrastructure for listing, discovering, purchasing, and delivering digital prompt content. We do not act as a party to the purchase contract between buyer and seller.

The contract of sale for each prompt listing is concluded directly between the buyer and the seller. llmdhub facilitates the transaction but is not the contractual seller. Our role is limited to:

  • Hosting and displaying seller-uploaded content;
  • Processing payments via third-party payment service providers;
  • Operating a wallet system for transaction convenience;
  • Providing automated content scanning for security and quality signals.

llmdhub is not a payment institution within the meaning of the Austrian Zahlungsdienstegesetz (ZaDiG 2018). The wallet balance described in Section 3 is a multi-purpose voucher, not stored money or electronic money.

3. Wallet and Balance

Wallet Balance as Multi-Purpose Voucher

The llmdhub wallet ("Wallet") allows Users to pre-load a balance that can be spent on any prompt listing on the Platform. The Wallet balance constitutes a multi-purpose voucher within the meaning of EU Council Directive 2016/1065. Your balance is always displayed in EUR.

Wallet balances do not expire.

Top-Up

Users may top up their Wallet by purchasing credit packs via supported payment methods (credit/debit card or PayPal where available). Available denominations are €5, €10, €25, and €50.

No service fee. Face value top-up. Top-Ups carry no service fee. The full amount you pay is added directly to your Wallet balance. The minimum Top-Up amount is EUR 5.00. (EU PSD2 Article 62(4) prohibits surcharging on EEA consumer card payments; the EUR 5.00 minimum is a product constraint, not a fee.)

Promotional balance: llmdhub may from time to time award promotional balance to your Wallet. Where awarded, promotional balance is tracked separately, is non-cashable (see Cash-Out below), and is consumed first when spending Wallet balance. Promotional balance is not awarded as a bonus on top-up payments; each Top-Up grants face value only.

Spending

When purchasing a prompt listing, the price is deducted from your Wallet balance in the following order: (1) Promotional balance first; (2) topped-up paid balance (from card payments and refunds returned to your Wallet); (3) sales earnings last. Each layer is fully exhausted before the next is drawn.

Cash-Out

Users may request to convert Wallet balance back to a payment to their original payment method ("Cash-Out"). Cash-Out is subject to the following rules:

  • Cash-Out is capped at the paid balance. The promotional balance portion is not eligible for Cash-Out. Sales earnings that are currently on hold (see Seller Payouts in Section 9) are also not yet eligible for Cash-Out until they settle.
  • Cash-Out requests are processed within 14 business days.
  • llmdhub reserves the right to verify your identity before processing a Cash-Out for fraud prevention purposes.

Cash-Out is free. No fee is deducted from your Cash-Out amount. Under EU Electronic Money Directive Article 11(4), a Cash-Out fee may only be charged where it reflects the actual cost of the redemption operation. Under the platform's current payment arrangement, the actual cost to the platform of processing a Cash-Out is approximately EUR 0; accordingly, no fee is charged.

The minimum Cash-Out amount is EUR 0.40. Cash-Out is not available for amounts below EUR 0.40 (balance remains as Wallet balance with no expiry).

Refund Method

All refunds are returned to your Wallet as paid balance — not as a reversal to the original payment method. This is the default refund method to which you consent upon acceptance of these Terms. If you wish to recover refunded amounts as actual money, you may use the Cash-Out facility described above.

Refund window. A purchase is refundable until you click "View Prompt" on the delivery page, or for 14 days from the time of purchase if you have not yet opened the prompt, whichever comes first. Clicking "View Prompt" waives your right to a refund immediately. If 14 days pass without you opening the prompt, the purchase automatically settles and is no longer refundable. See Section 5 for the EU legal basis for the 14-day cap.

VAT

As a multi-purpose voucher, VAT is not due at the time of top-up. VAT is assessed at the time of redemption (when the Wallet balance is used to purchase a specific prompt listing), based on the applicable rate for the digital content supplied.

4. Purchases and Delivery of Digital Content

Prompt listings on the Platform are digital content not supplied on a tangible medium within the meaning of EU Directive 2019/770 and the Austrian Fern- und Auswärtsgeschäfte-Gesetz (FAGG).

Upon successful purchase, you receive access to a delivery page displaying a clear notice and a "View Prompt" button. The prompt content is not revealed until you actively click the "View Prompt" button.

Once you click the "View Prompt" button, the digital content is delivered. The timestamp of this click is recorded. Re-viewing the content after the initial opening is permitted — you have paid for permanent access to the prompt content.

Email notifications about a purchase contain a link to the delivery page, not to the prompt content directly. This ensures that automated email scanners or URL prefetchers cannot trigger delivery without your deliberate action.

5. Right of Withdrawal and Refund Policy

EU 14-Day Right of Withdrawal

Under the Austrian FAGG (implementing EU Consumer Rights Directive 2011/83/EU), consumers have a 14-day right of withdrawal from distance contracts.

For digital content not supplied on a tangible medium, the right of withdrawal may be waived before expiry of the 14-day period if the consumer:

  • expressly consents to the immediate supply of the digital content; and
  • acknowledges that by consenting to immediate supply, they lose their right of withdrawal once supply has begun.

At the point of purchase, you will be asked to expressly consent to immediate access. By clicking "View Prompt" on the delivery page, supply of the digital content begins and your right of withdrawal is waived.

Refund Eligibility

Before clicking "View Prompt": You may request a full refund at any time before you click the "View Prompt" button on the delivery page, subject to the 14-day cap below. The right of withdrawal has not yet been waived because supply of the digital content has not yet begun.

14-day cap for unopened purchases. If you have not clicked "View Prompt" within 14 days of your purchase, the purchase automatically settles and is no longer refundable, in accordance with the EU 14-day right of withdrawal for digital content. After automatic settlement the prompt remains available to you and you retain your license to use it.

After clicking "View Prompt": You have expressly consented to immediate supply and acknowledged the loss of the right of withdrawal. No refund is available after this point.

This refund policy applies identically to all payment methods (Wallet balance, direct card payment, PayPal, and cryptocurrency where available).

Chargebacks

The refund policy described above does not affect your right to initiate a chargeback through your payment provider. Chargebacks are governed by the rules of the respective payment provider, not by these Terms.

Users who abuse the chargeback mechanism (e.g., filing chargebacks after viewing prompt content) may have their account suspended or terminated in accordance with Section 10.

6. Seller Obligations and Content Responsibility

By listing a prompt on the Platform, the seller represents and warrants that:

  • They are the original author of the prompt content, or hold all necessary rights and licenses to sell it;
  • The prompt content does not infringe upon the intellectual property rights of any third party;
  • The prompt content does not contain malicious instructions, hidden injection attacks, or code designed to compromise the buyer's systems, data, or accounts;
  • The listing description accurately represents the prompt's purpose, capabilities, and limitations.

Sellers agree to indemnify and hold harmless llmdhub, its operators, and its affiliates from any claims, damages, losses, or expenses arising from a breach of the warranties above.

llmdhub operates automated scanning systems designed to detect potential security threats, suspicious patterns, and plagiarism signals in uploaded prompt content. These scans are a best-effort security measure and do not constitute a guarantee of content safety, originality, or quality.

7. Intellectual Property and Buyer's License

Sellers retain all intellectual property rights in their prompt content. A purchase grants the buyer a license to use the content, not ownership of the underlying intellectual property.

Upon completed purchase and delivery, the buyer receives a non-exclusive, non-transferable, perpetual license to use the prompt content for the buyer's own purposes, including:

  • Using the prompt with any large language model;
  • Modifying the prompt for the buyer's own use;
  • Incorporating outputs generated by using the prompt into the buyer's own projects and products.

The buyer may not:

  • Resell, redistribute, or sublicense the prompt content in its original or substantially similar form;
  • Share the prompt content publicly or make it available to third parties;
  • Claim authorship of the prompt content.

8. Limitation of Liability

Platform is Not Liable for Content Quality or Fitness

llmdhub is an intermediary marketplace. We do not author, test, validate, or endorse the prompt content listed by sellers. We make no representations or warranties regarding the accuracy, completeness, quality, or fitness for a particular purpose of any prompt listing, nor regarding the outputs or results generated by using a purchased prompt.

Platform is Not Liable for Buyer's Use of Content

llmdhub is not responsible or liable for how buyers use, modify, deploy, or distribute the outputs generated by purchased prompts. In particular, llmdhub bears no liability for:

  • Any damage, loss, or claim arising from a buyer's use of a purchased prompt in production systems, automated pipelines, or customer-facing applications;
  • Any intellectual property infringement committed by a buyer through the use or modification of a purchased prompt or its outputs;
  • Any regulatory non-compliance resulting from a buyer's use of purchased prompts.

Buyers are advised to independently review all purchased prompt content before deploying it in any environment, and to comply with the terms of service of any LLM provider they use.

Trust signals displayed on the Platform (reputation badges, scan results, review scores) are informational aids — they do not constitute a warranty or endorsement by llmdhub.

Plagiarism and Originality

llmdhub employs automated scanning measures to detect potential plagiarism and intellectual property concerns in uploaded content. These measures are best-effort technical safeguards and do not constitute a guarantee that any listing is free from plagiarism or IP infringement.

If you believe that a listing infringes on your or a third party's intellectual property rights, you may report this through the Platform's notice-and-action mechanism in accordance with the EU Digital Services Act (Article 16). We will process such reports in accordance with our legal obligations.

Liability Cap

To the extent permitted by applicable law, llmdhub's total liability to any User for all claims arising from or related to the use of the Platform shall not exceed the total amount paid by the User to llmdhub in the 12 months preceding the claim. This limitation does not apply to liability for intent or gross negligence.

9. Seller Payouts

Platform commission. The platform commission on each sale is the greater of 20% of the sale price or EUR 0.20, whichever is higher ("MAX(20%, EUR 0.20)"). The seller receives the remainder. At or above EUR 1.00 this equals 20%. For listings priced between EUR 0.50 and EUR 0.99 the EUR 0.20 floor applies and the seller receives the balance. The commission is an internal platform fee and is separate from any Stripe processing or payout fees (see below).

Stripe processing and payout fees. Sellers connect via Stripe Connect under a controller-based account model. Under this model, Stripe's processing and payout fees are borne by the seller's connected account directly. The platform commission described above is separate from and in addition to any Stripe fees the seller's account incurs.

Earnings hold during refund window. Seller earnings from each sale are recorded as pending and become available for payout once the sale settles. A sale settles when the buyer opens the prompt (clicking "View Prompt") or after 14 days if the buyer has not yet opened it, whichever comes first. If a purchase is refunded while earnings are on hold, the held earnings are reversed and the seller receives nothing for that sale.

Seller earnings accumulate in the seller's account and are payable via Stripe Connect (bank transfer). The minimum payout threshold is €10. Sellers must complete the Stripe Connect onboarding process (including identity verification as required by Stripe and applicable financial regulations) before requesting payouts.

Earnings from purchases that are subsequently refunded are reversed from the seller's earnings balance.

10. Account Suspension and Termination

llmdhub reserves the right to issue warnings, temporarily suspend, or permanently terminate User accounts in cases of:

  • Repeated or serious violations of these Terms;
  • Uploading content that is flagged as malicious, fraudulent, or infringing by our scanning systems;
  • Abuse of the refund mechanism or chargeback process;
  • Any activity that threatens the security or integrity of the Platform.

Affected Users will be notified of enforcement actions and may appeal through the Platform's internal complaint mechanism in accordance with Article 20 of the Digital Services Act.

Upon account termination, remaining paid Wallet balance remains available for Cash-Out for 90 days after termination, subject to identity verification. Promotional balance is forfeited upon termination. Seller earnings above the payout threshold will be paid out, subject to any pending dispute or investigation.

11. Data Protection

llmdhub processes personal data in accordance with the EU General Data Protection Regulation (GDPR) and the Austrian Datenschutzgesetz (DSG). Details are set out in our separate Privacy Policy.

12. Applicable Law and Dispute Resolution

These Terms are governed by Austrian law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and excluding Austrian conflict-of-law rules that would refer to another legal system.

If you are a consumer resident in the EU, you retain the benefit of any mandatory provisions of the law of your country of habitual residence that cannot be derogated from by agreement (per Rome I Regulation Article 6(2)).

For disputes with consumer Users residing in the EU, the Online Dispute Resolution (ODR) platform of the European Commission is available at: https://ec.europa.eu/consumers/odr/

For non-consumer disputes, the exclusive place of jurisdiction is Vienna, Austria.

13. Changes to These Terms

llmdhub may amend these Terms at any time. Users will be notified of material changes at least 30 days before they take effect, via email to the registered email address and/or a prominent notice on the Platform.

If you do not object to the amended Terms within the 30-day notice period and continue to use the Platform, the amended Terms are deemed accepted. Users who object may terminate their account, with any remaining paid Wallet balance available for Cash-Out per Section 10.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that achieves the economic purpose of the original provision as closely as possible.
